Packaging Agreements
The products to be manufactured, processed and packaged by Co-Packer for the Company hereunder shall be the food products listed on Exhibit A attached hereto and incorporated herein by reference, as may be amended from time to time with the mutual agreement of the parties (collectively, the “Product”).
Co-Packer shall manufacture and process the Product in accordance with certain formulas and specifications to be provided by the Company, good manufacturing processes, specifications, information, and finished product standards, all as set forth in Exhibit B attached hereto and incorporated herein by reference. Co-Packer shall at all times comply with and conform its activities hereunder to the provisions of Exhibit B and provide to the Company samples of each production run at no cost to the Company other than the cost of shipment of such samples. The Company may at any time amend Exhibit B by giving thirty (30) days’ prior written notice to Co-Packer of any such amendment. Co-Packer shall package the Product in conformity with the specifications supplied by the Company, which are attached hereto as Exhibit C and incorporated herein by reference. All packaging labels for the Product shall have been approved by the Company prior to use.
